Acceptance of Terms

By accessing or using Avio (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

Description of Service

Avio is a multi-tenant software-as-a-service (SaaS) platform that provides equipment booking and management solutions for educational institutions and their authorized users.

User Accounts

Account Creation

• You must authenticate using a valid Google account
• You must provide accurate and complete information
• You must be affiliated with an authorized organization
• You are responsible for maintaining the confidentiality of your account

Account Eligibility

• You must be at least 18 years old or have reached the age of majority in your jurisdiction
• You must be a current student, faculty, or staff member of an authorized institution
• Your access may be revoked if your affiliation with the institution ends

User Responsibilities

Acceptable Use

You agree to:

• Use the Service only for lawful purposes
• Provide accurate booking information
• Return equipment in the condition received
• Comply with your institution’s equipment usage policies
• Respect booking schedules and reservation times

Prohibited Conduct

You may not:

• Share your account credentials with others
• Make false or fraudulent bookings
• Interfere with the Service’s operation
• Attempt to gain unauthorized access to the system
• Use the Service to violate any laws or regulations
• Harass, abuse, or harm other users or staff
• Upload malicious code or conduct security testing without permission

Equipment Bookings

Reservation System

• Bookings are subject to approval by authorized administrators
• Equipment availability is not guaranteed
• Reservations may be modified or cancelled by administrators
• You are responsible for checking booking confirmations

Equipment Use

• You are responsible for equipment during your reservation period
• You must report damage or issues immediately
• Late returns may result in penalties or restricted access
• Loss or damage may result in financial liability

Institutional Control

Your institution retains full administrative control over:

• User access and permissions
• Booking policies and approval workflows
• Equipment inventory and availability
• Enforcement of usage policies

Service Availability

Uptime

We strive to maintain high availability but do not guarantee uninterrupted access to the Service.

Maintenance

We may perform scheduled or emergency maintenance that temporarily interrupts the Service. We will provide reasonable notice when possible.

Changes to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

Intellectual Property

Ownership

Avio and its original content, features, and functionality are owned by Avio and are protected by international copyright, trademark, and other intellectual property laws.

Your Data

You retain ownership of any data you submit to the Service. By using the Service, you grant us a license to use, store, and process your data solely to provide the Service.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free from viruses or harmful components
• Results from using the Service will be accurate or reliable

Limitation of Liability

To the maximum extent permitted by law, Avio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

In no event shall our total liability exceed the amount paid by your institution for the Service in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Avio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your use of equipment obtained through the Service

Termination

By You

You may stop using the Service at any time. Contact your institution’s administrator to request account deletion.

By Us

We may suspend or terminate your access to the Service:

• If you violate these Terms
• If requested by your institution
• If required by law
• At our discretion with or without notice

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your booking history may be retained for administrative purposes.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Avio regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

Updates to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
